1. Who we are and what these Terms cover
This website, theluxhealth.com (the "Site"), is operated by [Lux Health Ltd.], a corporation established in Ontario, Canada ("Lux Health", "we", "us", "our"). These Terms of Service ("Terms") govern your access to the Site and every purchase you make through it. Our Returns & Refunds Policy, Shipping Policy, and Privacy Policy are incorporated into these Terms and, together with your order confirmation, form the whole agreement between you and us for each order.
By using the Site or placing an order you confirm that you have read and agree to these Terms and the incorporated policies. If you do not agree, do not use the Site or place an order. These Terms are presented and linked at checkout, and your acceptance is recorded with your order.
2. Eligibility
You must be at least the age of majority in the province, state, or country where you live to place an order. Our whitening and oral care products are intended for adults. By ordering you confirm that you are ordering for yourself or for another adult, and that you are not acting as a dealer, reseller, or distributor unless we have agreed to that in writing.
3. How an order becomes a contract
- Product listings on the Site are an invitation to purchase, not an offer. When you place an order, you are making an offer to buy at the price and on the terms shown at checkout.
- Our automated order confirmation email acknowledges receipt of your order. It is not acceptance. We accept your order, and a binding contract for the goods is formed, when we send the shipping confirmation with your tracking number.
- Before acceptance we may decline or cancel an order for any lawful reason, including a suspected fraud risk, a pricing or stock error, a quantity limit, a restricted destination, or an order that appears to be for resale. If we decline or cancel, we refund any amount charged in full and notify you at the email address on the order.
- We may limit quantities per person, household, payment method, or address, and may refuse repeat orders from customers who have filed a chargeback on a delivered or policy-excluded order.
4. Prices, taxes, and payment
- Prices are shown in the currency selected at checkout and are subject to change without notice until an order is accepted. Prices for Canadian addresses include applicable Canadian sales tax. Prices for all other destinations exclude import duties, VAT, GST, customs, and brokerage charges, which are payable by you as set out in the Shipping Policy.
- If a product is listed at an incorrect price or with an incorrect description because of an error, we may cancel the order before dispatch and refund you in full, even after the order confirmation has been sent.
- Payment authorization. By submitting payment you confirm that you are the authorized holder of the payment method, that the billing details you provide are accurate, and that you authorize us and our payment processor to charge the full order amount, including preorders, at the time of order. The charge will appear on your statement as LUX HEALTH LTD.
- Fraud screening. Orders are screened by our payment processor. We may hold an order and ask you to verify your identity or billing address before shipping. If we cannot verify the order within 7 days, we cancel and refund it.
- Chargebacks. If you have a problem with an order, contact support@theluxhealth.com first; we resolve legitimate issues quickly and in accordance with our policies. Filing a chargeback for an order that was delivered as tracked, or for a reason excluded under our Returns & Refunds Policy (including sensitivity, results, opened products, or import charges), is a breach of these Terms. We contest such chargebacks with our order records, delivery confirmation, these Terms, and your recorded acceptance of them, and we may recover any amounts and fees charged to us as a result.
5. Product information and use
- We describe products, ingredients, and expected results as accurately as we can. Colours, images, and packaging may vary slightly from what appears on your screen, and we may update product formulations and packaging without notice. Minor variations that do not affect the product's function are not defects.
- Our products are cosmetic and personal care products, not medical devices or treatments. Nothing on the Site is dental or medical advice. Results vary from person to person and are not guaranteed. Read and follow the instructions supplied with each product, do not exceed the recommended usage, and stop use and consult a dentist if you experience sensitivity, irritation, or any adverse reaction. If you are pregnant, breastfeeding, under 18, or have gum disease, untreated cavities, or dental restorations on visible teeth, consult a dentist before use.
- You are responsible for confirming that a product may lawfully be imported into and used in your country. We may restrict sales of any product to any region.
6. Returns, refunds, and shipping
Returns, refunds, cancellations, delivery, lost parcels, customs, and refused parcels are governed by the Returns & Refunds Policy and the Shipping Policy, which are part of these Terms. In case of conflict between those policies and these Terms, those policies prevail for the matters they cover.
7. Product reviews
We publish customer reviews to help shoppers evaluate our products, and we operate reviews under the following rules.
- Purpose. Reviews are for the product itself: quality, performance, whether it matched the description. Shipping, delivery, packaging, and order or account problems should be sent to support@theluxhealth.com so we can resolve them personally; they are not reflected in product quality and may be removed from product pages.
- Reviews we may remove. We may remove a review that contains profanity, personal attacks, harassment, or discriminatory language; is not about the product; appears to be fake, incentivized, or submitted by someone who did not purchase the product; is submitted in bad faith, including suspected competitor sabotage or coordinated campaigns; includes personal information, links, or promotional content; or violates the law or these Terms.
- Negative reviews stay. We do not remove or suppress a review because it is negative or critical. Honest low-rated reviews about the product remain published.
- Our reply. We may respond publicly to any review to add context or explain how we addressed an issue.
- Updating your review. If a problem you reviewed has since been resolved, we may ask whether you would like to update your review. Doing so is entirely your choice, and we do not offer anything in exchange.
- Your licence. By submitting a review or other content, you grant us a worldwide, royalty-free, perpetual licence to use, reproduce, edit for length, translate, and display it in connection with our products and marketing, and you confirm that it is your own honest opinion, based on your own experience, and does not infringe anyone else's rights.
8. Accounts and accuracy of information
You agree to provide accurate, current, and complete contact, billing, and shipping information for every order and to keep it updated. If you create an account, you are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately if you believe your account has been compromised.
9. Acceptable use
You may use the Site only for lawful purposes and for your own personal shopping. You may not: use the Site or our products for any unlawful purpose; submit false or misleading information, including false chargeback claims; infringe our or anyone else's intellectual property; harass, threaten, or defame anyone; upload malicious code or interfere with the Site's security; scrape, crawl, or copy the Site or its content; collect other users' personal information; or resell our products without our written consent. We may suspend or terminate your access for any breach.
10. Intellectual property
The Site and everything on it, including the Lux Health name and logos, product names, text, images, videos, and design, are owned by or licensed to us and protected by trademark and copyright law. You may not copy, reproduce, distribute, or create derivative works from any of it without our written permission, except to view the Site for personal shopping.
11. Third-party tools and links
The Site may include tools, content, or links provided by third parties, including Shopify, which hosts our store. We do not control third-party sites or tools and are not responsible for their content, accuracy, or practices. Your use of them is at your own risk and subject to their own terms.
12. Site availability and changes
We may change, suspend, or discontinue any part of the Site, its content, or our products at any time without notice, and we do not guarantee that the Site will be uninterrupted or error-free. Information on the Site may occasionally contain typographical errors or omissions, which we may correct at any time.
13. Warranties and limitation of liability
- Consumer rights are not affected. Nothing in these Terms excludes or limits any warranty, guarantee, condition, or remedy that applies to you under the mandatory consumer protection law of the place where you live and that cannot be excluded by agreement, including the Ontario Consumer Protection Act, the Quebec Consumer Protection Act, the EU legal guarantee of conformity, and the UK Consumer Rights Act.
- What we exclude. Subject to that, and to the fullest extent permitted by law, the Site and its content are provided "as is" and we exclude all implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement in relation to the Site itself.
- What we do not exclude. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.
- Cap. Subject to the two points above, our total liability to you arising out of or in connection with any order, whether in contract, tort (including negligence), or otherwise, is limited to the total amount you paid for that order. We are not liable for loss of profit, loss of business, or indirect or consequential loss that was not reasonably foreseeable when the order was placed.
- We are not responsible for delay or failure caused by events outside our reasonable control, including carrier or postal strikes, customs holds, natural disasters, and government action, provided we notify you and take reasonable steps to mitigate.
14. Indemnity
To the extent permitted by law, you agree to indemnify Lux Health and its directors, officers, employees, affiliates, and suppliers against any claim, loss, or expense, including reasonable legal fees, arising from your breach of these Terms, your violation of any law, or content you submit to the Site. This clause does not apply to consumers where the law of your residence prohibits it.
15. Governing law and disputes
- These Terms and every order are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. Subject to the next paragraph, the courts of Ontario have exclusive jurisdiction over any dispute.
- If you are a consumer in the European Union, the United Kingdom, or another jurisdiction whose law gives you the right to bring proceedings in your home courts or to the protection of your local mandatory consumer law, nothing in this section takes those rights away from you.
- Before starting any proceeding, you agree to contact us at support@theluxhealth.com and give us 30 days to resolve the matter. Most disputes are resolved this way.
16. General
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect and the unenforceable part is limited to the minimum extent necessary.
- No waiver. Our failure to enforce any right is not a waiver of it.
- Assignment. We may assign these Terms to a successor or affiliate. You may not assign them without our written consent.
- Entire agreement. These Terms, the incorporated policies, and your order confirmation are the entire agreement between us for each order and supersede any earlier communications. Ambiguities are not to be construed against either party as drafter.
- Language. If these Terms are translated, the English version prevails to the extent permitted by law.
- Survival. Sections 4 (chargebacks), 7 (licence), 13, 14, and 15 survive termination.
17. Changes to these Terms
We may update these Terms by posting a revised version with a new "Last updated" date. The version in force when you place an order is the version that applies to that order. Continued use of the Site after a change is acceptance of the change for future orders.
